Bexforte Terms of Service

Welcome to Bexforte! Your use of our services, including the services we make available through this website and all related web sites, mobile sites, data files, visualizations and applications which link to these terms of service (the "Site") and to all software or services offered by us in connection with any of those (collectively, the "Services"), is governed by these terms of service (the "Terms"), so please carefully read them before using the Services. For the purposes of these Terms, "we," "our," "us," and "Bexforte" refer to Bexoni Labs, the providers and operators of the Services.

In order to use the Services, you must first agree to these Terms. If you are registering for or using the Services on behalf of an organization, you are agreeing to these Terms for that organization and promising that you have the authority to bind that organization to these Terms. In that case, "you" and "your" will also refer to that organization, wherever possible.

You must be over 13 years of age to use the Services, and children under the age of 13 cannot use or register for the Services. If you are over 13 years of age but are not yet of legal age to form a binding contract (in many jurisdictions, this age is 18), then you must get your parent or guardian to read these Terms and agree to them for you before you use the Services. If you are a parent or guardian and you provide your consent to your child's registration with the Services, you agree to be bound by these Terms with respect of your child's use of the Services.

You agree your purchases and/or use of the Services are not contingent on the delivery of any future functionality or features or dependent on any oral or written public comments made by Bexforte or any of its affiliates regarding future functionality or features.

If you have entered into a separate written agreement with Bexforte for use of the Services, the terms and conditions of such other agreement shall prevail over any conflicting terms or conditions in these Terms with respect to the Services specified in such agreement.

ARBITRATION NOTICE: EXCEPT FOR CERTAIN TYPES OF DISPUTES DESCRIBED IN THE ARBITRATION CLAUSE BELOW, YOU AGREE THAT DISPUTES BETWEEN YOU AND Bexforte WILL BE RESOLVED BY MANDATORY BINDING ARBITRATION AND YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS-ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

BY USING, DOWNLOADING, INSTALLING, OR OTHERWISE ACCESSING THE SERVICES OR ANY MATERIALS INCLUDED IN OR WITH THE SERVICES, YOU HEREBY AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT ACCEPT THESE TERMS, THEN YOU MAY NOT USE, DOWNLOAD, INSTALL, OR OTHERWISE ACCESS THE SERVICES.

You must register an account with us (a "Customer Account") in order to use the Services. You agree to provide accurate and complete information in the creation of your Customer Account and agree to update this information with any changes. Your Customer Account is for your personal use only and you may not authorize others to use your account. You are responsible for ensuring that your access credentials are kept confidential and are not disclosed to any third party, and for all activity that occurs under your Customer Account. You agree to notify us immediately upon learning of any unauthorized access to your Customer Account or any other suspected security breach.

When creating an organization account, you understand that all services, data, and subscriptions are tied to the organization. You are responsible for managing access to your organization and ensuring that all users within your organization comply with these Terms.

Bexforte is a comprehensive project management and business operations platform that provides the following services:

• Invoice Management: Create, send, and track professional invoices with customizable templates and payment processing.
• Receipt Management: Upload, organize, and manage receipts with automatic data extraction and categorization.
• Project Management: Plan, track, and collaborate on projects with team members and clients.
• Feedback Collection: Create and distribute feedback forms to collect client and customer insights.
• Walls: Create collaborative spaces for sharing content, documents, and updates. Walls can be made public or private using access tokens.
• Paths: Organize and style links in a linktree-like format with one-click actions for emails and phone calls. Paths can be made public or private using access tokens.
• Document Generation: Generate and download PDF files for invoices, receipts, and other business documents.

You will be able to upload, create, host, transmit, share, publish or display information (such as data files, written text, computer software, music, audio files or other sounds, photographs, videos or other images) through use of the Services. All such information is referred to below as "User Content."

You are solely responsible for the development, content, and use of the User Content you upload to Bexforte and you assume all risks associated with them, including intellectual property or other legal claims. If you are registering for these Services on behalf of an organization, you agree that you are also responsible for the actions of your Authorized Users and for any User Content that such Authorized Users might upload, record, publish, post, link to, or otherwise transmit or distribute through use of the Services.

By storing User Content with Bexforte, you represent that you have all necessary rights to store, use and, if applicable, publicize that User Content, and that doing so does not conflict with, violate or misappropriate any third party legal rights, conflict with licenses you've granted to others, violate any applicable law or regulations, or any of our Terms.

You agree to immediately take down any User Content that violates these Terms, including pursuant to a takedown request from Bexforte. Bexforte doesn't actively monitor the User Content you upload, download or share. However, we reserve the right, in our sole discretion, to review and remove User Content and/or suspend your access to your account in the event we become aware that your use of our Services or User Content violate any of our Terms, or any applicable law and/or regulations.

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your information when you use our Services. By using our Services, you agree to the collection and use of information in accordance with our Privacy Policy.

We implement appropriate technical and organizational measures to protect your personal data against unauthorized access, alteration, disclosure, or destruction. However, no method of transmission over the internet or electronic storage is 100% secure.

Some aspects of the Services may be provided for a fee or other charge. If you elect to use paid aspects of the Services, you agree to the pricing and payment terms as we may update them from time to time. Bexforte may add new services for additional fees and charges, or amend fees and charges for existing services, at any time in its sole discretion.

All fees are non-refundable unless otherwise stated. You are responsible for all taxes associated with your use of the Services. We may change our fees at any time by posting the changes on the Site with reasonable advance notice.

By submitting, posting or otherwise uploading User Content on or through the Services you give Bexforte a worldwide, royalty-free, and non-exclusive license to reproduce, adapt, modify, translate, publish, publicly perform, publicly display and distribute such User Content for the purpose of enabling Bexforte to provide you with the Services.

Except as provided above, Bexforte acknowledges and agrees that it obtains no right, title or interest from you (or your licensors) under these Terms in or to any User Content that you create, upload, submit, post, transmit, share or display on, or through, the Services, including any intellectual property rights which subsist in that User Content.

You acknowledge and agree that Bexforte (and/or Bexforte's licensors) own all legal right, title and interest in and to the Services and Bexforte-Supplied Content and that the Services and Bexforte-Supplied Content are protected by copyrights, trademarks, patents, or other proprietary rights and laws.

You may not use our Services:

• For any unlawful purpose or to solicit others to perform unlawful acts
• To violate any international, federal, provincial, or state regulations, rules, laws, or local ordinances
• To infringe upon or violate our intellectual property rights or the intellectual property rights of others
• To harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate
• To submit false or misleading information
• To upload or transmit viruses or any other type of malicious code
• To spam, phish, pharm, pretext, spider, crawl, or scrape
• For any obscene or immoral purpose
• To interfere with or circumvent the security features of the Services
• To submit, upload, or target fabricated, invalid, disposable, or harvested email addresses, or to otherwise engage in sending practices that materially degrade deliverability (e.g., excessive hard bounces, spam complaints, or unauthorized bulk messaging).

We may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

To protect service integrity and sender reputation with our email delivery providers, we reserve the right to warn, throttle, temporarily suspend, or permanently disable or delete any account that repeatedly uses invalid, fabricated, or otherwise unauthorized recipient email addresses, or maintains excessive bounce or complaint rates above thresholds set by us or our providers. We may, but are not obligated to, provide notice and an opportunity to remediate before taking action.

If you wish to terminate your account, you may simply discontinue using the Services or contact us at support@bexoni.com to request account deletion.

Upon termination, your right to use the Services will cease immediately. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

The information on this website is provided on an "as is" basis. To the fullest extent permitted by law, this Company:

• Excludes all representations and warranties relating to this website and its contents
• Excludes all liability for damages arising out of or in connection with your use of this website

This includes, without limitation, direct loss, loss of business or profits, damage caused to your computer, computer software, systems and programs and the data thereon or any other direct or indirect, consequential and incidental damages.

IN NO EVENT SHALL Bexforte, NOR ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICES.

IN NO EVENT SHALL Bexforte'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION (WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE) EXCEED THE AMOUNT THAT YOU HAVE ACTUALLY PAID FOR THE SERVICES IN THE PAST TWELVE MONTHS, OR ONE HUNDRED DOLLARS ($100.00), WHICHEVER IS GREATER.

These Terms shall be interpreted and governed by the laws of Canada, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Services, and supersede and replace any prior agreements we might have had between us regarding the Services.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect.

By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Services.
